Terms for businesses
These terms apply when you use Business Manager on Ovin (ovin.ai) for a business, or connect your website to Ovin, including with the Ovin plugin for WordPress. They are an agreement between Tedo B.V. (Mauritsstraat 1, 9724 BH Groningen, the Netherlands, Chamber of Commerce no. 99742411, "we") and the business ("you").
1. What the service is
1.1 In Business Manager you check and complete how your business appears on Ovin: opening hours, website and phone number. You can prove that a website is yours and connect it, so changes reach us sooner.
1.2 It is free. There is no obligation to buy anything.
1.3 You can always have your business removed without an account: choose "Don't list" in Business Manager, or email hello@zoeken.ai. You never need an account for that.
1.4 Your listing can also appear on Zoeken.ai, Suchen.ai and Rechercher.ai, our search engines in Dutch, German and French.
2. Who may use the account
2.1 The account belongs to the business, not to one person. Whoever creates it or connects a website confirms that they may act for the business. We check this by having you prove that the website is yours.
2.2 An administrator can give colleagues access and take it away again. Administrators are responsible for who has access.
2.3 If we find that someone opened an account or connected a website for a business they may not act for, we close the access, undo the changes and let the business know.
3. Your listing
3.1 We show business details that are publicly available: trade name, address, type of business and, where known, opening hours, website and phone number. For every detail we know where it came from: your own website, or you.
3.2 What you fill in yourself must be correct. You are responsible for it. If we see that something is clearly wrong, we may correct or leave it out, and we will let you know.
3.3 We check a change of name or address first, because those decide which business the listing is.
3.4 Connecting your website creates your listing from your website's business details. It becomes public only after we have checked that the website is yours, and one business can be connected per website. We show the trade name only. If your address is a home address, you can choose to show only the town. If the check stops working, or nobody manages the listing any more, we take the listing offline after 30 days unless that is fixed.
4. Connecting your website
4.1 You decide what your website sends; we decide what we show on Ovin, under these terms and section 5.
4.2 A connected website only sends the addresses of pages that changed. Our crawler then fetches public details,
such as your business details, and respects your robots.txt and noindex. We receive nothing about the visitors of
your website.
4.3 Once your website is connected and proven to be yours, we apply changes to opening hours, phone number and website straight away. If you would rather approve them yourself first, choose "Ask first" in Business Manager. We take a new name or address from your website only after an administrator confirms it, by email or in Business Manager (3.3). We never silently overwrite what you changed yourself in Business Manager: we ask you which one should stay. You can undo every change with one click.
4.4 We never write anything on your website. If Ovin shows something different from your site, you see it as a suggestion and decide yourself whether to take it over.
4.5 You can disconnect at any time, in Business Manager or in the plugin. Your listing stays, subject to 3.4; if you want it gone too, choose "Don't list" in Business Manager.
5. How we rank
5.1 The order depends on how well a business matches the search and the place, and on how complete and up to date its details are.
5.2 An account, a connected website or the plugin gives no higher position, and a position cannot be bought. Up-to-date details do help us show what is right now, for example whether you are open now. If this ever changes, we will say so here and you will hear it from us first (see 11).
6. The rights you give us
6.1 For what you fill in in Business Manager or supply through your website, you give us a free, non-exclusive licence to show it on Ovin, Zoeken.ai, Suchen.ai and Rechercher.ai, with your listing. The licence ends when you delete it or have your business removed.
6.2 You confirm that you may do so, and that it does not infringe anyone else's rights.
7. When we restrict or end something
7.1 We may remove a detail, pause a connection or restrict access if something breaks the law or these terms, or if someone reports it to us with good reason. We then tell you what we did and why, and how you can respond. You can object via hello@zoeken.ai; we answer within 10 working days.
7.2 We end an account or connection only after 30 days' notice, with the reason. This does not apply if the law requires us to stop sooner, if a connection is misused, or in case of repeated or serious breaches.
8. Liability
8.1 Ovin is free and provided as it is. We do not guarantee that it always works, that your business always appears or appears in a particular position, or that details from others (such as websites) are correct.
8.2 We are not liable for damage caused by using Ovin, or by it being unavailable for a while, except in case of intent or deliberate recklessness by our management.
8.3 If we are liable nonetheless, it is only for direct damage and up to € 100 in total per year. We never pay for indirect damage, such as lost revenue, lost customers or damage to reputation.
8.4 You must report a claim to us in writing within 12 months after you discovered the damage; after that it lapses.
9. Force majeure
We are not liable if force majeure prevents us from keeping our agreements, for example outages at our hosting or internet providers, attacks on our systems or government measures.
10. Responsibility for what you supply
You are responsible for what you fill in, upload or supply through your website. If someone holds us liable because any of it infringes their rights or is incorrect, you indemnify us for that and pay our reasonable costs.
11. Changes
We announce changes to these terms by email to the administrators at least 15 days in advance. If you do not agree, you can stop within that time. Changes the law requires can take effect sooner.
12. Privacy
How we handle the data of your business, your administrators and your website is set out at ovin.ai/privacy.
13. Law and courts
These terms are governed by Dutch law. Disputes go to the District Court of Northern Netherlands (rechtbank Noord-Nederland). Mandatory rules of the law of your own country that protect you as a business still apply.
